These Terms and Conditions summarize the standard SaaS service terms used for Loopfour customer agreements. If a signed order form, statement of work, data processing addendum, or other customer agreement applies, that signed agreement controls.

SaaS services and support

Loopfour provides access to its SaaS services and related technical support subject to the applicable order form, service scope, and customer agreement.

Customers identify administrative users during registration. Loopfour may refuse or cancel account credentials that it reasonably deems inappropriate or unsafe.

Service scope and critical systems

Loopfour services may include the application platform, REST API and integration layer, workflow automation engine, contract and invoice processing modules, data storage and sync infrastructure, and authentication and access controls.

Service level commitments apply only to Loopfour-operated critical systems identified in the applicable customer agreement. Third-party systems, APIs, networks, and customer-managed integrations remain outside Loopfour-operated infrastructure.

Customer restrictions and responsibilities

Customers may not reverse engineer, decompile, disassemble, modify, translate, create derivative works from, or otherwise attempt to discover the source code, object code, structure, ideas, know-how, or algorithms underlying the services, except where expressly permitted by Loopfour.

Customers may not use the services for timesharing, service bureau purposes, or for the benefit of a third party unless authorized by Loopfour, and may not remove proprietary notices or labels.

Customers are responsible for using the services in compliance with applicable laws, export controls, published policies, and their own internal authorization requirements.

Customer cybersecurity responsibilities

Customers are responsible for maintaining reasonable security practices for their use of Loopfour, including protecting login credentials, API keys, and access tokens, enabling multi-factor authentication for administrator accounts where available, and keeping endpoint devices patched and protected.

Customers must promptly notify Loopfour through the applicable agreement notice process, support process, or security contact if they confirm or reasonably suspect unauthorized access, credential compromise, or a security incident related to the services.

Confidentiality and ownership

Each party must take reasonable precautions to protect the other party's non-public business, technical, financial, product, system, and operational information.

Customer data remains owned by the customer. Loopfour owns and retains the services, software, improvements, enhancements, modifications, implementation technology, and related intellectual property.

Loopfour may collect and analyze service usage, performance, diagnostic, and operational information to operate, improve, secure, and support the services, and may disclose that information only in aggregate or de-identified form where permitted by the applicable agreement.

Data protection

Each party must comply with applicable data protection and privacy laws for its activities under the applicable agreement.

Where Loopfour processes personal data on behalf of a customer, the parties may enter into a mutually agreed data processing addendum before that processing begins. Loopfour does not use this site to make a blanket GDPR compliance claim.

Loopfour maintains commercially reasonable administrative, physical, and technical safeguards designed to protect the security, confidentiality, and integrity of customer data against unauthorized access, use, disclosure, or destruction.

Fees, invoices, and taxes

Customers must pay the fees described in the applicable order form, subscription plan, statement of work, or invoice.

If Loopfour bills by invoice, full payment is due according to the payment terms in the applicable agreement or invoice. Unpaid amounts may result in collection costs, late charges where permitted, suspension, or termination of service.

Customers are responsible for taxes associated with the services other than taxes based on Loopfour net income.

Term, renewal, and termination

The service term begins on the effective date stated in the applicable order form or customer agreement and renews according to that agreement unless either party gives the required non-renewal notice.

Either party may terminate for material breach if the breach is not cured within the applicable cure period. Nonpayment may result in termination without an additional cure period where the governing agreement allows it.

Upon termination or expiration, customers may request a return or export of customer data within the time period stated in the applicable agreement. Loopfour may delete customer data after that period according to its standard retention and deletion policies, subject to legal retention obligations.

Service levels and support

Loopfour uses reasonable efforts consistent with prevailing industry standards to maintain the services in a manner that minimizes errors and interruptions.

Scheduled maintenance, emergency maintenance, third-party provider issues, customer-side network or equipment issues, expired credentials, revoked tokens, invalid authentication, integration misconfiguration, and force majeure events may be excluded from service level calculations.

Support response targets, service credits, incident response, root cause analysis, escalation paths, and status reporting are governed by the applicable customer agreement.

Warranty disclaimer and limitation of liability

Except as expressly stated in an applicable agreement, the services and implementation services are provided as is, without warranties that the services will be uninterrupted, error-free, or produce any particular result.

Liability limitations, exclusions, indemnities, service credits, and remedies are governed by the applicable customer agreement.

Force majeure and governing law

Neither party is liable for delay or failure to perform, excluding payment obligations, to the extent caused by events beyond that party's reasonable control, including natural disasters, government action, pandemics, labor disruptions outside the affected party, or widespread internet infrastructure failures.

Unless a signed agreement states otherwise, Loopfour customer agreements are governed by the laws of the State of California without regard to conflict of law provisions.
